RECOMMENDATION:
Approve the increase in the estimated contract value to $44,500,000.00 over 5 years for the On Demand Technologies Master Services Agreement with River North Transit, LLC/Via, AND authorize the Executive Director to execute the 5th Service Order and associated disbursements with River North Transit, LLC (Via) in a not to exceed amount of $21,793,653 for both locations combined to renew the UTA On-Demand services in Southern Davis County and Southern Salt Lake County for 36 months.
BACKGROUND:
UTA has contracted with River North Transit, LLC (Via) through a Master Services Agreement (MSA), which was approved by the Board of Trustees on August 25, 2021 and executed in September 2021 to expand microtransit services and programs (UTA Contract 20-03399). Microtransit, branded as UTA On Demand, has emerged as a cost-effective coverage solution. The original estimated value of the Master Services Agreement was $32,71,486 for 5 years. This service order exceeds the previously approved estimated total contract value and therefore requires board approval of a new estimated total contract value. The revised estimate for the 5-year agreement is $44,500,000.
This agreement provides ongoing microtransit service per the Five-Year Service Plan. UTA’s Innovative Mobility Solutions (IMS) group will submit annual service orders per the Five-Year Service Plan for additional hours and vehicles as needed.
This 5th Service Order would fund UTA On Demand service in Southern Davis County and Southern Salt Lake County zones for three years.
DISCUSSION:
UTA desired a multi-year agreement to facilitate budgeting and service planning. The proposed new service order merges two separate service orders (service orders 2 and 3) into one. It extends the contract terms for three additional calendar years, 2024, 2025, and 2026, to align with Via’s Master Service Agreement (MSA) term. Hourly rates are now consistent across both zones and are all-inclusive.
New not-to-exceed pricing is a base increase of +4% per year or +12% over the 3-year term. Ridership continues to grow, and this extension increases service hours in 2024 only.

ALTERNATIVES:
If UTA determines not to support microtransit service in the future, UTA will develop a transition plan and updates to the Five-Year Service Plan to support any associated changes.
FISCAL IMPACT:
Current Not-to-Exceed amounts are $12,601,142 for the Southern Salt Lake County 36-month contract and $2,282,200 for the Southern Davis County 17-month contract.
The new Not-to-Exceed amount is $21,793,654 for both zones combined over three years.
