RECOMMENDATION:
The board is requested to take the following two actions: First, approve an increase in the total estimated Master Service Agreement (contract #20-03399) value to $65,647,075. Second, approve the 8th Service Order and authorize the Executive Director to execute the agreement and associated disbursements with Via for the new UTA On-Demand West Provo microtransit zone, with a total service order value of $2,898,286.
BACKGROUND:
Microtransit, branded as UTA On Demand, has emerged as an effective coverage solution that complements fixed route bus and train service. UTA has contracted with River North Transit, LLC (Via) through a five-year Master Services Agreement (MSA) to expand microtransit services and programs (UTA Contract #20-03399). This contract was originally approved by UTA’s board on August 25, 2021. The original Master Service Agreement (MSA) was approved as a zero-dollar contract, but with a board-approved estimated maximum MSA value of $32,761,486. A series of service orders have been issued on the MSA over time as follows:
1. Add SLC Westside zone
2. Renew Southern Salt Lake County zone
3. Add South Davis County zone
4. Renew Software as a Service for Tooele County zone
5. Renew Southern Salt Lake County and South Davis County zones
6. Model microtransit simulation zones for a planning study
7. One-time vehicle enhancements including Utah license plates and video cameras
The board-approved estimated maximum contract value has increased as needed as service order not-to-exceed (NTE) values increased beyond the original approved estimate. Most recently, the estimated MSA maximum contract value was approved on April 17, 2024 for $54,000,000.
The proposed 8th service order would add a new microtransit zone per UTA’s Five-Year Service Plan (Zone 581).
DISCUSSION:
This 8th service order would provide UTA On Demand service in West Provo for 20 months, from its scheduled launch on April 13, 2025 (April Change Day) until December 31, 2026, to align with the Via Master Service Agreement (MSA) timeline.
Microtransit service complements fixed-route transit by offering additional mobility options and bridging transit gaps within communities. The UTA On Demand app prioritizes bus and train trips when they are the faster and more convenient option. Notably, the West Provo microtransit zone will be the first Via-operated area with 100% wheelchair-accessible vehicles, ensuring equal wait times and service availability for all riders.
Innovative Mobility Solutions will submit annual service orders per the Five-Year Service Plan for additional hours and vehicles as needed.
There are two Contract Summaries below:
The first is for the estimated maximum MSA value increase through the end of 2026 which covers additional service hours, proposed system enhancements, and the addition of four new service areas, including the West Provo area reflected in Service Order No. 8. All future service orders associated with the proposed estimate increase are subject to budget availability.
The second is for Service Order No. 8 which adds service for the West Provo area.

ALTERNATIVES:
If UTA were to determine not to support microtransit service in the future, UTA will develop a transition plan and updates to the Five-Year Service Plan to support any associated changes.
FISCAL IMPACT:
For the West Provo microtransit zone, the approved 2025 UTA operating budget allocates $1,190,924, with the draft financial plan for 2026 projecting an additional $1,707,362. This results in a combined total of $2,898,286 over both fiscal years. All service expenses will be funded through the Innovative Mobility Solutions operating expense line item for contracted services in the annual Planning & Engagement budget (6550.050353). Service orders and task order amendments will be issued as needed for any modifications to the current agreement.
