RECOMMENDATION:
Approve and authorize Executive Director to execute the Funding and Reimbursement Agreement with the Utah Department of Transportation (UDOT) for the FrontRunner Double Track Project (FrontRunner 2X Project).

BACKGROUND:
House Bill 322 enacted by the Utah State Legislature during the 2022 General Session gave UDOT oversight and supervisory responsibility for fixed guideway capital development projects (as that term is defined in HB 322) when they include state funding.
UDOT and UTA have entered or will enter several agreements for the FrontRunner 2X project.

DISCUSSION:
This Agreement provides for commitments to satisfy Federal Transit Administration (FTA) eligibility requirements in connection with FTA grant funding. The parties also desire to provide for UTA’s agreement to comply with the FTA’s Master Agreement in connection with the project and to be treated as a subrecipient of FTA grant funds that UDOT will obtain for the project work so that federal funding can be applied to UTA’s responsibilities for the project (or UTA’s responsibilities for the project can be eligible as local match).
This Agreement authorizes UTA to submit project expenses that UTA incurred prior to the effective date of this agreement for UDOT to review and approve or deny. To date, UTA has paid for its project expenses using state funding that UDOT provided to UTA through a Pass-Through Funds Agreement entered between the Parties effective as of November 18, 2021 (the “2021 Pass Through Agreement”).
This agreement establishes a method by which UTA can submit invoices to UDOT for project work and obtain reimbursements paid from project funds.

ALTERNATIVES:
The alternative would be for UTA to not seek reimbursement of funds for the project.

FISCAL IMPACT:
The fiscal impacts to UTA are beneficial. UTA receives reimbursement for eligible project expenses.
