RECOMMENDATION:                                                                                                                       

Approve the First Amendment to the UTA-Salt Lake City Microtransit Cooperative Agreement and authorize the Executive Director to execute the agreement with Salt Lake City for renewal of the UTA On-Demand Salt Lake City Westside service.                     

BACKGROUND:                                                                                                                                 

The UTA-Salt Lake City Microtransit Cooperative Agreement was approved by the UTA Board of Trustees on October 13, 2021 and executed in December 2021 as an agreement between UTA and Salt Lake City to fund and deploy the UTA On-Demand Salt Lake City Westside microtransit service as part of the Salt Lake City Transit Master Plan and UTA’s Five-year Service Plan. UTA and Salt Lake City partnered to deploy the microtransit service as a UTA On-Demand service which provides significant advantages and benefits to the community by being tied into the UTA transit network. 

The Microtransit Cooperative Agreement provided $1,900,000 over 12 months (December 2021 - December 2022) by Salt Lake City for UTA to deploy and operate the UTA On-Demand microtransit service with UTA’s vendor Via. Salt Lake City reimburses UTA monthly for actual expenses incurred for all Via provided services, fueling expenses, and a 5% operations support fee. Marketing and promotions provided are a direct pass-through on all expenses incurred. UTA retains all fares collected as part of the service.

DISCUSSION:                                                                                                                                      

The First Amendment to the Microtransit Cooperative Agreement renews the agreement and provides an additional 12 months of Salt Lake City funding (Not-to-Exceed $1,900,000) for UTA to operate the UTA On-Demand Salt Lake City Westside microtransit service with UTA’s vendor Via.

UTA and Salt Lake City staff will provide an overview of the Microtransit Cooperative Agreement, the First Amendment to the Microtransit Cooperative Agreement, and 2023 associated funding.

An overview of the UTA On-Demand Salt Lake City Westside service will be provided to the Board of Trustee’s as part of the Board Agenda Item: Change Order: On Demand Technologies Service Order No. 1, Amendment No. 3 - SLC Westside Contract Renewal (River North Transit, LLC / “Via”).

ALTERNATIVES:                                                                                                                                    

Terminate the Microtransit Cooperative Agreement and reject the amendment, thus asking that Salt Lake City procure and operate the Salt Lake City Westside microtransit service. Note: should UTA pursue this alternative, both contractual requirements and other federal requirements regarding service changes would first need to be met, such alternative should be considered as either part of the April 2023 or August 2023 change day. 

FISCAL IMPACT:                                                                                                                                

Salt Lake City provided funding of $1,900,000 over a 12-month period in 2023. Revenue from Salt Lake City will be included in the 2023 final budget.
