RECOMMENDATION:
Approve and authorize the Executive Director to execute contract 25-03692 and associated disbursements with Sedia Inc., in the not-to-exceed amount of $982,106.80, to provide the facility, labor, and hardware necessary for reupholstery of all seating in 38 Bi-Level commuter rail passenger cars owned by UTA.

BACKGROUND:
Ongoing maintenance of UTA’s commuter rail coach cars requires periodic overhaul of various components and systems. Passenger seat upholstery is a high-wear component in the Bi-Level commuter rail coaches and has reached the point where replacement is necessary. UTA recently issued a request for proposals for the supply of labor and all required hardware to complete this overhaul work.

DISCUSSION:
UTA operates thirty-eight (38) Bombardier bi-level coach and cab cars for the Frontrunner service. The scope of work is to provide the location, all labor, and all associated hardware for the replacement of upholstery on all passenger seating, as well as two (2) additional sets of refurbished seats for UTA’s inventory.
Following receipt and evaluation of bids, Sedia Inc. was selected as the lowest responsive and responsible bidder. The contract amount for this work, which includes supply of location, labor, and hardware to re-upholster all passenger seating on all Bi-Level cars is $982,106.80.
UTA has procured the seating foam and fabric necessary for this overhaul work and will supply these materials to Sedia for installation.
Deliveries will consist of one prototype and one initial first article, followed by four phased production deliveries at four-month intervals, continuing until the re-upholstery of all seats has been completed.
The contract pricing has been determined to be fair and reasonable based on both a UTA independent cost estimate and the performance of a price analysis.

ALTERNATIVES:
UTA evaluated the option of completing the re-upholstery work using internal labor and facilities. This evaluation determined that existing internal resources are not sufficient to complete the work without significant additional investment in specialized tools, hardware, and trained labor. As a result, outsourcing this work is expected to provide both cost and schedule efficiencies.
Further delay of the re-upholstery work could negatively impact passenger comfort and UTA’s public image. Given the wearable nature of the upholstery materials, this overhaul is ultimately unavoidable, making completion of the work in UTA’s best interest.

FISCAL IMPACT:
This contract is for a one-time procurement of labor and associated hardware for re-upholstery services. The work is to be completed over two years, 2026 and 2027.
The 2026-2030 approved Five Year Capital Plan includes $3,000,000 for the 2026 budget year and $8,500,000 for the 2027 budget year.
The total not-to-exceed contract value is $982,106.80 with projected fiscal impact over the two years as follows:
• 2026 Contract Total: $761,434.00
• 2027 Contract Total: $220,672.80
