Approve Resolution R2024-12-05 to adopt revised Board Policies 1.3 Executive Relationships and Meeting Protocols and 3.3 Capital Development Project Implementation as presented.                     

BACKGROUND:                                                                                                                                 

The Special Districts Act 17B-1-301 and the Utah Public Transit District Act section 17B-2a-8 outlines the duties and powers of a large public transit district’s Board of Trustees. One of those duties includes developing and approving board policies, ordinances, and bylaws after consultation with the Local Advisory Council.

The UTA Board of Trustees last updated Board Policy 1.3 in October 2023 and 3.3 in December 2022. These policies have been updated to reflect changes in Utah statute and code.

DISCUSSION:                                                                                                                                      

The agency is recommending that the updated Board Policies 1.3 Executive Relationships and Meeting Protocols and 3.3 Capital Development Project Implementation be approved as presented.

The proposed revision of 1.3 incorporates updates to the Utah’s Open Public Meetings Act (OPMA). OPMA was updated during the 2024 Utah Legislative session by HB 36 with new language regarding administrative meetings with the Board of Trustees. Additionally, there are minor language updates in the policy to increase clarity.

The proposed revision of 3.3 incorporates updates in Utah Code § 17B-2a-808.2 and 72-1-2 regarding transit related Capital Project Plans under the authority of the Utah Department of Transportation (UDOT). Additionally, there are minor language updates in the policy to increase clarity.

As required by statute, the proposed policy revisions were presented to the Local Advisory Council on November 6, 2024 for their consultation and feedback and no additional comments were provided. We are now presenting the proposed policy revisions to the Board of Trustees for final review and approval.
