RECOMMENDATION:
Approve and authorize Executive Director to execute the design services memorandum of agreement (MOA) with Larry H. Miller Real Estate, LLC for a not to exceed amount of$500,000 for design services for the proposed TRAX Daybreak Station.

BACKGROUND:
UTA and Kennecott Land entered an Interlocal Agreement (ILA) on May 13, 2008. This agreement facilitated the construction of the Mid-Jordan Light Rail Line. The agreement granted UTA an easement to build and operate the Mid-Jordan Light Rail Line through Kennecott Land at Daybreak. The ILA contemplated a future third station in Daybreak at approximately 11000 South without assigning responsibility to either Party for the design or construction of the station. With the recent plans to construct the new stadium, Larry H. Miller Group, LLC (LHMRE, LLC) has now committed to assume the financial responsibility and will reimburse UTA for the costs of the design for the new station. An additional agreement with LHMRE will be needed in order to fund the construction of the station.
On behalf of LHMRE, LLC (Larry H. Miller Group) and per the MOA, UTA will procure the design services for the Daybreak Station to be located on the Redline in Daybreak between the intersection of Split Rock Road and Mellow Way. This new station will provide a 3rd station in Daybreak. Services for design will include: civil, structural, mechanical, and electrical engineering; survey, geotechnical, lighting, subsurface utility engineering and utility design. Construction documents to include engineering drawings, engineering specifications and probable cost estimate. The project design costs will be reimbursed by the LHMRE, LLC, per terms outlined in the MOA.
Under a separate Board action, the 2023-2027 Five-Year Capital Plan is being amended to include the new Daybreak station as a new project. Concurrent with the plan amendment, the 2023 budget is also being amended to include this station project. Funds for the budget amendment to add the station design are being provided for in this agreement.

DISCUSSION:
Approval of the MOA will enable UTA Capital Development to contract with a designer for a new light rail station design at this location built to UTA standards and specifications. This project would help fulfill an agreement between UTA and Kennecott to accommodate the third of three stations in Daybreak and provide valuable infrastructure for the new baseball stadium.
LHMRE is currently working with South Jordan City and the State of Utah to secure 6M in funding for the construction of the station. UTA will not move forward with the construction of the station until the funding is secure and an agreement has been approved by the UTA Board of Trustees.

ALTERNATIVES:
Design of the station could be delayed; this would also delay the construction and ultimate completion of the proposed TRAX station.

FISCAL IMPACT:
The design will be funded by LHMRE, LLC, per the MOA.
