RECOMMENDATION:
Approve and authorize the Executive Director to execute Change Order 5 and associated disbursements with CareATC to extend the current contract term to February 28, 2026 and increase the not-to-exceed amount by $320,000.

BACKGROUND:
On October 25, 2018, the Board of Trustees approved a 5-year contract starting on January 1, 2019 with CareATC to provide onsite health and wellness services for administrative and Amalgamated Transit Union (ATU) represented bargaining unit employees through the CareATC clinics.
On December 20, 2023, the Board of Trustees approved Change Order 3, which extended the contract term to December 31, 2025, and added an additional $3,600,000 to the base contract value of $7,000,000, and a separate $1,500,000 to cover the increase in clinic utilization and pass-through costs incurred during the initial contract term, bringing the total contract value to $12,100,000 at that time.
On May 28, 2025, the Board of Trustees approved Change Order 4, which increased the not-to-exceed amount of the contract by $258,967.86 to cover additional monthly pass-through costs for services provided and to furnish and provide services at the Mt. Timpanogos health suite, bringing the total contract value to $12,358,967.86.

DISCUSSION:
The current contract with CareATC expires on December 31, 2025. UTA completed the RFP process to reprocure onsite health and wellness clinic services, and the evaluation of proposals submitted is currently underway to award a new contract. An extension to the current contract to February 28, 2026 is requested to allow time to finalize the RFP process, award a new contract, and complete service transition if needed. The additional not-to-exceed amount of $320,000 covers the additional monthly fixed and pass-through costs for the contract extension period (January - February 2026).
