RECOMMENDATION:
Approve and authorize the Executive Director to ratify and extend the terms of the Trolley Bus Service Agreement with Ogden City Corporation.

BACKGROUND:
Since 2020, the City of Ogden (City) and the Utah Transit Authority (UTA) have partnered through a bus service agreement to provide the Ogden Trolley (Route 601), connecting the Ogden FrontRunner Station with Downtown Ogden. Under this agreement, the City funded 25% of the service's operating costs, and UTA offered the service with zero fare to customers.
In 2024, UTA and the City entered into a new agreement (24-F0381, approved by the Board of Trustees on March 27, 2024) that extended the zero-fare operations of Route 601 from January 1 through December 31, 2024.
Although this agreement has since expired, both parties have continued to operate in accordance with its terms, resulting in work being performed without proper authorization which requires ratification. Both parties wish to extend the zero-fare service through UTA’s April 2026 Change Day (April 14, 2026).
Ratification Justification: The delay in bringing this forward for approval was due to extended time for negotiations, delays in Ogden City approval processes, and UTA staffing changes.

DISCUSSION:
UTA is requesting to ratify the extension of the 2024 agreement with Ogden City Corporation, retroactive to January 1, 2025, through April 13, 2026. This action will allow UTA to continue to serve the customers of Route 601 with zero fare. The value of this agreement is $89,353 and is intended to offset revenue not collected in fares.
The Board has the authority to either ratify the extension or deny the extension and discontinue Ogden Trolley service.
Per the Five-Year Service Plan, beginning with the April 2026 Change Day, Route 601 will be discontinued, and the zero-fare service will be replaced by a new route alignment and improved frequency of Route 612 in the Ogden Downtown area, including existing coverage of Route 603X (Ogden Express, OGX).

ALTERNATIVES:
Do not authorize the Executive Director to execute the amendment with Ogden City Corporation and forego the offset in fare revenue not collected.

FISCAL IMPACT:
2025 Contract Total: $89,353 in revenue and, a 3% increase of $2,603 from 2024’s contract value.
