RECOMMENDATION:
Approve the UTA-Via Service Order No. 2 and authorize Interim Executive Director to execute the contract and associated disbursements with River North Transit LLC (Via) for the Southern Salt Lake County UTA On-Demand microtransit service renewal for the amount of $12,601,142.

BACKGROUND:
The Southern Salt Lake County UTA On-Demand microtransit service is the agency’s first on-demand microtransit service and has been operational since November 2019. The service is a public private partnership with River North Transit LLC (Via) and has been operating under a previous Master Services Agreement (UTA Contract 19-03043) procured as part of the deployment and pilot phase of the service in 2019. The service order under the 2019 MSA expires on December 31, 2021, and UTA desires to renew the service for three years under the new Master Services Agreement with Via (UTA Contract 20-03399BM) which was procured though a competitive process and executed in 2021 and approved by the board on August 25, 2021.

DISCUSSION:
Service Order No.2 is the second service order under the UTA - Via Master Services Agreement (MSA) for On-Demand Technologies and Innovative Services. The MSA was executed in September 2021 after UTA completed a competitive procurement process for a long-term on-demand and microtransit vendor to support expanded and new on-demand services and programs (UTA Contract 20-03399BM). This service order is a renewal of the UTA On-Demand Southern Salt Lake County microtransit service and moves the service from UTA Contract 19-03043 to UTA Contract 20-03999BM. The service is supported by UTA’s Five-Year Service Plan and is included in the 2022 Innovative Mobility Solutions budget. The service order defines funding and operating parameters for the Southern Salt Lake County Service and is a three-year contract with Not-to-Exceed (NTE) annual expenses defined for each year. NTE amounts are not guaranteed spending amounts and are above the estimated cost to operate the service in years 2023 and 2024. These amounts include flexibly to expand the fleet, increase service hours, and market and promote the service as determined by UTA.
