RECOMMENDATION:
Approve Amendment No. 4 to Service Order No. 1 to the On Demand Technologies Master Service Agreement and authorize UTA’s Executive Director to execute the agreement and associated disbursements with River North Transit, LLC (Via) in the amount of $7,290,360 for renewal of the UTA On-Demand service in the Salt Lake City (SLC) Westside zone.
BACKGROUND:
UTA has contracted with River North Transit, LLC (Via) through a Master Services Agreement (MSA) which was approved by the Board on September 25, 2021 to expand microtransit services and programs (UTA Contract 20-03399). As approved by the Board on October 13, 2021, Via and UTA initiated Service Order No. 1 to deploy microtransit service in the SLC Westside zone. Microtransit, branded as UTA On Demand, has emerged as a cost-effective coverage solution.
This 4th Amendment to Via’s Service Order 1 would fund UTA On Demand microtransit service in the SLC Westside zone through the end of UTA-Via’s MSA term in December 2026. This growth was contemplated in the initial RFP and the contract and has been determined by UTA legal to be within scope.
DISCUSSION:
This amendment provides ongoing microtransit service per the Five-Year Service Plan. UTA’s current service order for Via to operate the SLC Westside zone expires on June 30, 2024. Instead of requiring annual renewals, UTA desired a multi-year agreement to facilitate budgeting and service planning. The proposed new amendment renews the contract for 30 months to align with the Via Master Service Agreement (MSA) term.
The cost is approximately $7.3 million over 30 months including 2% annual adjustments for inflation. This amendment assumes zero growth in ridership and service hours. Innovative Mobility Solutions department will submit operating budgets annually, and if needed, new service orders per the Five-Year Service Plan for additional hours and vehicles.

ALTERNATIVES:
If UTA were to determine not to support microtransit service in the future, UTA will develop a transition plan and updates to the Five-Year Service Plan to support any associated changes.
FISCAL IMPACT:
2024 Amount: $1,434,930. Included in the Approved 2024 Operating Budget in the Innovative Mobility Solutions office budget
2025 Amount: $2,898,630 This amount will be included in the 2025 budget request.
2026 Amount: $2,956,800. This amount will be included in the 2026 budget request.
Costs for the 2024 operating year are backed by a Cooperative Agreement with Salt Lake City. The Cooperative Agreement is typically renewed annually.
The total new contract value for all service orders to date under the River North Master Service Agreement is $52,516,459.
The Board-approved Total Estimated Contract value for the MSA is $54,000,000.
